All consulting engagements are governed by a separate Statement of Work (SOW) or service agreement that specifies:

In the event of any conflict between these Terms of Service and a signed SOW, the SOW shall prevail.

4. Intellectual Property

Our Materials

All content on this website, including text, graphics, logos, and software, is the property of Venture Alpha AI or its licensors and is protected by intellectual property laws.

Client Deliverables

Unless otherwise specified in the applicable SOW, upon full payment, clients receive ownership of custom code and deliverables created specifically for their engagement. We retain rights to our pre-existing tools, frameworks, and methodologies.

5. Confidentiality

We treat all client information as confidential. We do not disclose client projects, data, or business information without explicit permission. We are willing to sign mutual Non-Disclosure Agreements (NDAs) upon request.

6. Limitation of Liability

To the maximum extent permitted by law, Venture Alpha AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

Our total liability for any claims under these terms shall not exceed the amount paid by you for our services during the twelve months preceding the claim.

7. Warranties and Disclaimers

We provide our services with reasonable skill and care. However, we do not guarantee specific outcomes or results from AI implementations, as these depend on many factors outside our control.

This website and its content are provided "as is" without any warranties, express or implied.

8. Indemnification

You agree to indemnify and hold harmless Venture Alpha AI and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or violation of these terms.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts located in Miami-Dade County, Florida.

10. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to this website. Your continued use of our services constitutes acceptance of the modified terms.
